NIS: Maximize your ISP's worth before sale

Read this article and learn, why a network inventory system can be crucial in the process of building the value of a telecommunications company in the context of a planned acquisition, how structured network documentation will speed up the due diligence process, help reduce investment risks, and facilitate post-acquisition integration.

Consolidation in the telecommunications market – a trend that isn’t losing momentum

In recent years, a trend of consolidation has emerged in the telecommunications market. This phenomenon can be observed in both Poland and international markets, including Europe and North America, where large companies acquire smaller providers, thereby strengthening their position and influence.

As indicated in the latest State of the Telecommunications Market Report 2024, published by UKE (Office for Electronic Communication), the Polish telecommunications sector remains highly fragmented. With almost 2,800 active entities, more than 99% are small and medium-sized enterprises. However, despite the predominance of SMEs, it is the largest operators that account for as much as 84.5% of total telecommunications revenues. What’s more, the big players are constantly expanding their market share — i.a., through acquisitions of smaller players.

Orange Polska‘s acquisition of three local operators (ITV Media, Mobico, Wawtel) in late 2024 allowed the company to significantly expand the reach of its fiber-optic network and increase the customer base by 105,000 households.

Polski Światłowód Otwarty (PŚO), on the other hand, has increased the reach of its network by 146,000 households through acquisitions of smaller, regional operators since the beginning of its operation in 2023.

In the face of rising investment pressure, smaller and medium-sized telecommunications companies are facing the challenge of increasing their market value. The telecom network inventory system is becoming a key tool in this process.

Challenges of ISPs: What Are They and How to Deal with Them?

One of the main challenges facing ISPs is the lack of uniform and systematic network documentation. Many operators use different tools and systems to manage individual infrastructure segments, such as Excel files or service technician notes.

This fragmentation hinders effective management. Network inventory software allows for the unification of this data and integration of information about all the network elements, such as:

  • Network devices (routers, switches, modems, etc.).
  • Network topology (physical and logical topology)
  • Locations (geographic distribution of devices, data centers, access points)
  • Technical and service status (information about maintenance, warranties, replacement dates)
Collecting network data

The network inventory system becomes the single and most reliable source of knowledge about the network. It makes finding the information you need quick and easy, which is essential for both day-to-day management and in the context of a potential sale.

How does a network inventory system increase the value of a company in the context of sales?

It speeds up the due diligence process

The due diligence process performed by a potential buyer is one of the most important stages in the sale of a telecommunications company. The time spent verifying the state of the network, as well as technical and operational documents, can weigh on the investment decision. Full and clear documentation of the network within a company being sold increases its value and can serve as a bargaining chip in negotiations with a potential buyer.
Network inventory software enables data to be organized transparently, eliminating the need for tedious information searches. Everything a potential buyer will want to check out is available in an organized form, providing the ability to quickly verify the state of the network in the field.

It prepares the network for scaling and upgrading

It is important for potential investors to understand which areas of infrastructure need upgrading and where further development investments are possible. Standardized documentation is the most reliable source of this knowledge. It enables you to quickly verify the current network condition.
Understanding the state of the network also provides insight into its scalability. Using network inventory software, operators can create detailed expansion plans, identify vulnerabilities, and plan further investments.

It reduces investment risks

Network Inventory software makes it easy to provide complete information about the state of the network in digital form. By analyzing such data, potential investors gain an understanding of how the network is managed and can assess the risks associated with a planned investment more easily.
Having a centralized source of knowledge about the network, an operator who wants to sell their company (and network) can easily provide the party interested in the purchase with data on service history, potential failures, and their repairs, as well as development plans. All this increases the investors’ confidence – they can be sure that the company they want to buy is a good investment.

It supports post-sale integration processes

The sale of a smaller ISP to a large operator involves integrating the infrastructure with the systems and networks of the new owner.
In this context, a well-mapped network along with complete, up-to-date information is crucial to the success of this process. This is why the network inventory system is the foundation of the integration process. By digitalizing all equipment data, topology, locations, and condition, the system allows for the rapid transfer of key information to the new operator's systems. This significantly speeds up the integration, minimizing the risk of errors and data loss, and enables a smooth transition to managing the expanded network, without downtime or major operational difficulties that could negatively affect the quality of services offered to customers and result in financial losses.

How Network Inventory Increases the Value of ISPs in Negotiations with Investors

Stage of NegotiationsOperators' ConcernsHow Network Inventory Helps
Due Diligence"It will take the auditors weeks to complete the process..."The data is ready: the investor will check the state of the network in no time, and the whole process will take days instead of weeks.
Price Negotiations„How will I justify a higher valuation?”You present data on the coverage, reliability, and capacity of your network.
Development Plans"The new owner will ask about scaling.”With one click, you show a map of possible expansion points and cost estimates for upgrades.
Investment Risk"What if they find hidden defects?”The history of failures, maintenance, and replacements is transparent, so the risk is easy to assess.
Post-acquisition integration„"Will there be problems with synchronizing data and systems after the sale?”Standardized, complete data will make it easy to merge your network with the investor's systems.

A Network Inventory System: Why You Need One!

Documenting the state of the network and centralizing the documentation is a foundation that not only ensures operational efficiency but is also an important part of preparing an ISP company for sale. Transparency, reduced due diligence time, facilitation of investments and upgrades, and support for post-sale integration processes are key benefits that can significantly increase the company’s value in the eyes of potential investors.
